Terms of Service
These Terms of Service govern your access to and use of Bangladesh Business Lab’s consulting services, software development platforms, digital marketing execution, and AI Growth Lab infrastructure.

1. Acceptance of Terms
By accessing our website, booking a Strategy Session, or entering into a Statement of Work (SOW) with Bangladesh Business Lab. ("BBL"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or entity, you represent that you possess legal authority to bind such entity.
2. Scope of Services
BBL provides high-end software development, AI model integration, web architecture, performance marketing campaigns, and growth strategy consulting. Detailed project scope, deliverables, timelines, and acceptance criteria are specified in individual project Statements of Work (SOW).
3. Client Responsibilities
Clients agree to provide accurate business specifications, timely feedback during review cycles, necessary API credentials, and lawful brand collateral required for milestone completions.
4. Intellectual Property Rights
Ownership Structure:
• Custom Deliverables: Upon full payment of project invoices, all custom software code, designs, and content created specifically for the client transfer to client ownership.
• Pre-Existing Frameworks: BBL retains ownership of pre-existing core libraries, AI orchestration tools, and reusable software design patterns incorporated into deliverables.
5. Service Level Agreement (SLA) & Warranties
Hosted infrastructure managed directly by BBL targets 99.9% uptime availability. BBL provides a 30-day warranty post-deployment to remediate any functional code defects identified within agreed project specifications.
6. Payment & Invoicing Terms
Invoices are issued according to milestone schedules defined in SOWs. Standard payment terms are Net-15 days. Outstanding invoices past 30 days are subject to a 1.5% monthly interest fee.
7. Limitation of Liability
To the maximum extent permitted by law, BBL's total cumulative liability arising out of any engagement shall not exceed the total fees paid by the client to BBL under the relevant SOW during the 6 months preceding the claim.
8. Mutual Confidentiality
Both parties agree to maintain strict confidentiality regarding proprietary business processes, financial data, and technical specifications exchanged during the course of engagement.
9. Governing Law & Dispute Resolution
Jurisdiction Framework:
These terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any legal action or proceeding shall be brought exclusively in the courts of Dhaka, Bangladesh.
